Terms and Conditions
The following Terms and Conditions constitute a legally binding agreement (“Agreement”) between you (“Client”) and Linguists World (“Linguists World”) regarding access to and use of the Linguistsworld.com website (“website”) and its associated human-based translation services (“Services” or “Service”) provided or promised by Linguists World.
For this Agreement, “Source Material(s)” shall indicate any electronic or other files transmitted by the Client to Linguists World via the website and intended as the subject of services hereunder. The ultimate translated version of all Source Material(s) shall be referred to as “Deliverable” or “Deliverables,” and therefore eligible for final billing and delivery to Client. Each order or formal Service request shall be referred to as an “Order”.
Agreement with Terms and Conditions
By accessing or use of the website or Services, you agree to these Terms and Conditions of Service. If agreement is not your intent regarding these Terms and Conditions of Service, you should discontinue any/all use of the website.
Service Charges and Website Description
Linguistsworld.com is an online translation, proofreading, editing, transcription, and content writing ordering site. Service charges are based on word count or number of pages, language(s) and service requested. The Client’s quote is calculated by the order. Linguists World provides an estimate of service – quoted on a without-prejudice basis based solely on the information provided by the Client and such shall be subject to the Terms and Conditions and fees as Linguists World directs.
Once an agreement has been reached regarding price between the Client and work begins, refunds are limited based on the Terms and Conditions herein. All quoted prices/rates are subject to change without prior notice based on formal acceptance of any Order. Linguists World reserves the right to charge for further Services requested by the Client once an Order has been accepted.
Choosing and Beginning Orders
It is the Client’s responsibility to choose the suitable services for their respective Source Material(s). Linguists World is not responsible if the service chosen does not meet the Client’s requirements after the Order has begun.
The Client can request Service by uploading and submitting Source Material(s) to the website. The Deliverable(s) will be emailed to the Client; however, the file will remain on hand for Linguists World for at least six months after completion unless otherwise noted. Linguists World will send the completed Order to the Client upon request one additional time after order completion without additional charges.
Linguists World is not liable for any errors or omissions occurring in the original Source Material(s), whether or not they affect the quality of the Deliverable. In addition, Source Material(s) will be scanned for viruses upon receipt by Linguists World. We reserve the right to refuse to translate any Source Material(s) deemed offensive, defamatory, obscene, in breach of any statutory or regulatory obligation, or otherwise considered inappropriate by Linguists World, whose judgment in all matters shall be binding and irrefutable.
Order Changes
The Client has 7 days from Deliverable receipt to inform Linguists World of any errors/ omissions contained in the Deliverable. Linguists World will make reasonable corrections free of charge and in a timely manner. If the error is due to the original Source Material(s), a small charge may apply. If this is the case, Linguists World will notify the Client of the cost to make the correction(s).
Linguists World and Client Warranties
Linguists World warrants that all Document services will meet reasonable commercial standards for professional human translation (i.e. human translation by a bilingual translator with reasonable skill in translating the concepts and terminology of industry-specific text with a proofread by a second translator).
The Client represents and warrants that he/she/they own/owns or is licensee of the Source Material(s) and all components thereof, and that translation of the Source Material(s) and publication, distribution, sales or other use of the deliverable shall not infringe upon any copyright, trademark or patent, or other right of any third party without that party’s prior express written consent.
The Client also represents and warrants that Source Material(s) submitted to the website is/are of good quality and free of errors or spelling mistakes within reason.
The Client warrants not to utilize any device, software or routine that would interfere with the proper working of the website or that may have a contaminating or detrimental effect on the website.
Linguists World makes no representations or warranties of any kind, except as set forth above. WITHOUT LIMITING THE FOREGOING, THE SERVICES ARE PROVIDED ON AN ‘AS IS’ AND ‘AS AVAILABLE’ BASIS AND WITHOUT ANY OTHER WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF PROPRIETARY RIGHTS.
Additionally, Linguists World shall not be liable for any incidental, special or consequential damages or loss of any nature whatsoever, nor for any claim against the Client by any other person or entity, arising from or relating to services rendered by Linguists World, regardless of the nature of the claim or the form of the cause of action, whether in contract or in tort, or otherwise, and even if Linguists World has been advised of the possibility of such damages by anything contained in related proposals and other documentation. Linguists World shall not be responsible for any loss or damage to, nor the return of, any Source Material(s).
Projected Delivery Date
Times for expected receipt of the Deliverable are given at the time the order is placed (Projected Delivery Date). Linguists World will guarantee all reasonable best efforts to meet this deadline, but we do not accept liability for any delivery delays. Linguists World reserves the right to adjust the delivery date and will make all reasonable efforts to contact the Client regarding any change to the Projected Delivery Date.
Payment Information
Payment is due when the order is placed and can be made in U.S. dollars or other currencies approved by Linguists World prior to order placement and in writing.
This is a pre-paid interpretation/translation/ proofreading/editing/transcription service. Our services are provided to and billed to you; therefore, this service is not contingent upon your client’s payment to you. Linguists World will not bill any third party for Deliverable(s).
Service Rates are given at order request, and additional time/work will be billed immediately upon receipt of Deliverable.
Exotic or rare languages not listed on our Service page will be quoted, discussed and agreed upon prior to acceptance of assignment.
Requests made within one business day of date of service will incur an Urgent Request Fee. Client will be notified of such fee—including amount and Delivery Date/Time change—prior to completing the order.
Security of Personal Details
Linguists World uses modern encryption technology to ensure confidentiality of personal details. Our website uses encryption to protect against third-party disclosure at all times.
The nature of the work performed and any information transmitted to Linguists World by the Client shall be considered confidential. Linguists World shall not, without the prior written consent of the Client, divulge or otherwise disclose said information to any third party other than authorized employees or authorized subcontractors of Linguists World, whose job performance requires such disclosure. The provisions of this paragraph shall not apply to the extent Linguists World is required by law to divulge such information or to the extent such information is or becomes a matter of public knowledge other than by disclosure by Linguists World.
Maximum Liability
Maximum Liability for Linguists World is the value of the document services paid by the Client. The maximum liability to the Client by Linguists World shall in all cases, other than those involving death or personal injury, be limited to the value of the original Order.
Agreement Breach Repercussions
In the event that the Client breaches this Agreement, Linguists World shall have the right to terminate the Order effective immediately, whereupon the Client shall pay the full purchase price provided hereunder for all services completed and for any work in progress. In the event that Linguists World breaches this Agreement, the Client shall have the right to terminate immediately, whereupon Linguists World shall return to the Client any and all Source Material(s) or data supplied by the Client, together with all Deliverables that exist as of the termination date.
Rights, Titles, and Interest
All rights, titles and interests in and to the Source Material(s) and, except as hereunder provided, the Deliverables, and any and all patent rights, copyright, know-how, and trade secrets therein are and remain the sole and exclusive property of the Client.
Notwithstanding the above, the Client concedes that Linguists World is the sole and exclusive owner of all right, title, and interest in and to all methodology, information, software, and databases used in completing the Order, and inventions, methodology, innovations, know-how, and databases developed by Linguists World in the course of completing Deliverable(s), including any and all patent rights, copyrights, know-how, and trade secrets therein. Provided that the Deliverables and copyright, know-how and trade secrets therein shall remain the property (but not the risk) of Linguists World until Linguists World shall have been paid in full for such Deliverables.
Indemnification
The Client shall indemnify, defend, and hold harmless Linguists World, its owners, directors, officers, employees, representatives, agents, successors and assigns from and against any and all losses, damages, costs and expenses, including reasonable legal fees, resulting from, arising out of or incidental to any suit, claim or demand based on (i) the performance of this Agreement by either party, (ii) the Client’s breach of the covenants, representations and warranties made by it herein, (iii) the manufacture, advertisement, promotion, sale or distribution of any items by the Client, (iv) any taxes and duties, levies, tariffs, or like fees that may be imposed by any government or collective authority upon manufacture, advertisement, promotion, use, import, licensing or distribution of items by the Client, or (v) any claim that any element of the Deliverable infringes any copyright, trademark, patent, or other proprietary right.
Termination Policy
Linguists World may terminate the rights of the Client without cause at any time and with immediate effect, with or without prior notice. All disclaimers, indemnities and exclusions in the Agreement shall survive termination for any reason.
If any part of these Terms and Conditions is held to be unlawful, invalid or unenforceable, that part shall be deemed severed and the validity and enforceability of the remaining Terms and Conditions shall not be affected.
Cancellation Fee will apply if Client cancels with less than (1 business day) notice prior to service.
All charges set forth above shall be considered earned upon your confirmation of an Order placed.
Modifications and Amendments to Terms and Conditions
Linguists World may modify these Terms and Conditions at any time without prior notice to Client(s). Continued use of the website and Service constitutes agreement to and of said modifications and/or amendments.
